Which terms these are. These are the terms for this website and the waitlist. They are not the software agreement for the Zuzu platform — that does not exist yet, because the platform is still being built. When it launches, clinics will sign a separate agreement.

1. Agreeing to these terms

By using zuzucloud.com (the "site"), you agree to these terms. If you do not agree, please do not use the site. If you are agreeing on behalf of a clinic or company, you confirm you have authority to do so.

2. What this site is

The site describes software that is in development and not yet generally available. Descriptions of features, screenshots, and the product tour illustrate what we are building. They are not a commitment that any specific feature will be present in a released product, and features may change before launch.

Nothing on this site is medical, clinical, legal, or financial advice.

3. The waitlist

  • Joining the waitlist is free and creates no account, no contract for services, and no obligation on either side.
  • Being on the waitlist does not guarantee access to the platform. We may invite clinics in any order, and we may decline to invite a business for any lawful reason.
  • You may ask to be removed from the waitlist at any time — see the Privacy Policy, or use the unsubscribe link in any email we send.
  • Please give us accurate information. Adding an address that is not yours, or that you are not authorised to use, is a breach of these terms.

4. The founding-member offer

We advertise an introductory offer to waitlist members. As advertised at the time of writing, it is:

  • 14 days free to try the platform, with no credit card required;
  • 20% off the first 3 months for people who joined the waitlist;
  • Your launch price locked for 12 months from the date your paid subscription begins.

If you join the waitlist while this offer is displayed, we will honour it for you as described, even if we later stop offering it to new signups. The offer applies to the subscription price and does not extend to taxes, third-party fees, or optional add-ons.

This offer is an invitation to try the platform. It is not an offer capable of acceptance that creates a binding contract before the platform is available, and the platform is not yet available.

5. Acceptable use

You agree not to:

  • submit automated, bulk, or scripted waitlist entries;
  • scrape, harvest, or extract data or email addresses from the site;
  • attempt to gain unauthorised access to any part of the site or its systems;
  • interfere with the site's normal operation, or introduce malicious code;
  • impersonate any person or organization, or misrepresent your affiliation.

6. Our intellectual property

The site and its content — including the Zuzu and ZuzuCloud names and logos, text, design, and code — belong to us or our licensors and are protected by copyright and trademark law. You may view and share the site, but you may not copy, modify, or republish it commercially without our written permission.

"Zuzu" and "ZuzuCloud" are our trademarks. Do not use them in a way that suggests endorsement or affiliation without our permission.

7. Availability

We may change, suspend, or discontinue any part of the site at any time, including replacing it entirely when the platform launches. We do not guarantee that the site will be available or error-free.

8. Disclaimer and limitation of liability

The site is provided "as is". To the fullest extent permitted by law, we make no warranties or conditions, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the site. Because the site is provided free of charge, our total aggregate liability to you for any claim relating to the site is limited to CAD $100.

Nothing in these terms excludes liability that cannot lawfully be excluded, and nothing here limits any statutory right you may have as a consumer under the law of your province or state — including the right to make a complaint to a consumer protection authority.

9. Privacy

Our handling of your personal information is described in the Privacy Policy, which forms part of these terms.

10. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. You and we agree to the exclusive jurisdiction of the courts of Ontario, sitting in Windsor.

If you are a consumer in Quebec, this does not deprive you of the protection of Quebec's consumer protection legislation or of the jurisdiction of Quebec courts.

11. Changes to these terms

We may update these terms. The revised version applies from the date it is posted, and we will revise the date below. Material changes will be noted on the site.
